Terms of business

These terms apply to all deliveries from TopSkilte ApS, CVR 43050176, Brødeskovvej 16, 3400 Hillerød(“TopSkilte”), unless otherwise agreed in writing.

1. Quotes and agreement

Quotes are valid for 30 days from the quote date unless stated otherwise. An agreement is concluded when the customer has accepted the quote in writing. Changes and additions are agreed in writing and invoiced separately.

2. Prices and payment

All prices are exclusive of VAT. For projects above DKK 25,000 we invoice 50% on order and the balance on completed installation. Other jobs are invoiced in full after delivery. Payment terms are net 8 days. Late payment accrues interest under the Danish Interest Act.

3. Delivery and installation

Delivery times are stated to the best of our estimate. TopSkilte is not liable for delays caused by circumstances beyond our control, including weather, permit processing and supplier failure. The customer provides free and unobstructed access to the site and power on site. Hidden installations in facades and ground (electricity, water, cables) must be disclosed by the customer before installation.

4. Permits

Where signage requires a municipal permit, TopSkilte can prepare the application material. As owner of the sign, the customer is responsible for the required permit being in place unless otherwise agreed in writing.

5. Retention of title

Delivered goods remain the property of TopSkilte until the full purchase price with any interest and costs has been paid.

6. Complaints and warranty

The customer must inspect the delivery immediately on handover. Complaints about visible defects must be made in writing no later than 8 days after handover. We provide a 2-year warranty on manufacturing and installation defects. The warranty does not cover damage caused by vandalism, impact, extraordinary weather or lack of maintenance.

7. Liability

TopSkilte’s liability is limited to the invoice value of the delivery. TopSkilte is not liable for operating losses, loss of profit or other indirect losses. TopSkilte carries customary business and product liability insurance.

8. Artwork

The customer warrants holding the rights to logos, images and texts supplied for production. Sketches and visualisations produced by TopSkilte remain TopSkilte’s property until the job is paid.

9. Disputes

Any dispute is settled under Danish law at the court of TopSkilte’s registered office.
